The following Terms of Use Agreement (the "Agreement") governs your general access to and use of this Layalina Productions ("Layalina") website, the software used in connection with the Site ("the Software"), and the Content of this website (as defined below).

Please read this Agreement carefully. Your use of the Site, the Software, or the Content constitutes your acceptance of the terms, conditions, and notices set forth in this Agreement. Such use also constitutes your agreement to the following:
(i) you are of the age of majority in the jurisdiction in which you are viewing the Site and you have the authority to enter into this Agreement and to perform the obligations stated herein;
(ii) you will not use the Site for any purpose that is unlawful or prohibited by this Agreement; and
(iii) you will comply with all applicable law in connection with your use of the Site and with any such further limitations as may be set forth in any written or on-screen notice from Layalina.

1. Modifications to this Agreement
Layalina reserves the right to amend this Agreement at any time. The date of the last revisions made to this Agreement is indicated at the end of this Agreement. You are bound by any such revisions and therefore should visit this page periodically to review the terms of this Agreement. Your use of the Site, the Software, or the Content after the posting of modifications to this Agreement will constitute your acceptance of this Agreement as modified. Layalina reserves the right to require you to electronically sign any modifications to this Agreement. If you do not wish to accept this Agreement, you may not use the Site or its Software or Content.

2. Privacy
Information Collected. In general, you can visit this website without revealing your identity or providing any personal information. If, however, you decide to submit a charitable contribution using the online donation form or submit a comment using our "Comment" web page, the Site will ask for "personally identifying information" including your name, company name and title, address, e-mail address, telephone number, and-if you are giving a donation-your credit card number. By voluntarily submitting such personally identifiable information, you are agreeing to allow Layalina to collect and store this information.
The Site also may gather "non-personally identifiable information" in order to help monitor the number of visitors to the Site, to monitor the most-often viewed web pages within the Site, to gather information about users’ computer operating systems, to monitor how an individual computer accesses the Site, and to determine how the Site is used by customers so we can improve the Site. Such non-personally identifiable information may include your computer’s "IP" address or other numeric codes used to identify a computer and general demographic information about all users. The Site does not use any personally identifiable or non-personally identifiable information to engage in any tracking of its visitors or to build online profiles of its visitors.
Disclosure of Information. Layalina will not disclose your information to third parties except in the following situations: (i) Layalina will share your information as necessary in order to effectively process your credit card information in instances where you make a charitable donation, and (ii) Layalina reserves the right to disclose any information necessary to comply with applicable law or regulation, to satisfy any legal process or governmental request, or to protect the interests or safety of Layalina or other visitors to the Site.
Access to Information. Access to your personally and non-personally identifiable information is limited to Layalina staff and its web-hosting affiliate. Your credit card information can be accessed only by Layalina staff and the financial services entities that need this information to process your donation. You will have the opportunity to update your information at any time by contacting Layalina at information@layalina.tv or the address or telephone number provided below.
How Information is Protected. We take reasonable measures to protect the privacy, accuracy, and reliability of any personal information you choose to provide and to protect such information from loss, misuse, unauthorized access, disclosure, alteration, and destruction. We also safeguard your information by limiting the number of employees who may access such information and by permitting employees to access such information only for administrative purposes.
Please note that while we strive to protect your personal information-including by using 128-bit encryption technology to help protect the security of your credit card information-we cannot guarantee the security of any information you choose to transmit through the use of the website due to inherent vulnerabilities in the Internet itself.

3. Copyright Rights
All rights in the text, images, photographs, logos, graphics, designs, layouts, user interface, and other content or technology provided on or through the Site (collectively, "the Content"), and the selection, coordination, and arrangement of such Content and of the Site and its Software are owned or licensed by Layalina. The Site, the Software, and the Content are or may be protected under copyright and other applicable intellectual property and proprietary right laws of the United States and other countries. Unless explicitly and specifically authorized herein, you have no license or right under any copyright or other intellectual property rights of Layalina.
You shall not, and shall not permit, assist or allow others to, reverse engineer, decompile, disassemble, re-engineer or otherwise discover or recreate or attempt to discover or recreate the Site, the Software, or the Content. You agree not to modify, rent, lease, loan, sell, distribute, or create derivative works based on the Site, the Software, or the Content, in whole or in part, without Layalina’s express written consent.
No Content may be modified, reproduced, distributed, displayed, or transmitted in any form by any means, electronic or mechanical, including without limitation photocopying and recording, except that Layalina authorizes you to view, copy, download, and print pages or documents available from the Site subject to the following conditions:
(a) The pages or documents may be used solely for an individual’s or an organization’s private, informational, and business-planning purposes.

(b) The Content may not be used in a manner that suggests an association with any of Layalina’s Content.
(c) No copyright, trademark, or other proprietary notices may be removed from any of the pages or documents.

4. Notice of Copyright Infringement
If you believe that your work has been copied and is accessible on the Site or the Content in a way that constitutes copyright infringement, please provide Layalina with the following information:

5. Treatment of Content
You are solely responsible for all of the information you transmit, distribute, post, communicate, or store on, to, or through the Site or its Content. You warrant and represent that you own or otherwise control all of the rights to such content and that use of your content by Layalina will not infringe or violate the rights of any third party. By submitting or posting material on, to, or through the Site or its Software or Content, you grant to Layalina a world-wide, royalty-free, perpetual, irrevocable, and non-exclusive license to use, reproduce, modify, adapt, and display any such Content in connection with the Site and its Software. In the event Layalina desires to use your Content for purposes not contemplated by this Agreement, you agree (upon a reasonable request made by Layalina) to discuss the possibility of such use with Layalina.
No compensation shall be paid with respect to the use of your posted Content. Layalina has no obligation to, and generally does not, pre-screen, monitor, or edit the Site or the Content. However, Layalina reserves the right at all times to review content posted on the Site and to remove any content in its sole discretion, without your knowledge or permission.

6. Trademark Rights
All rights in Layalina Productions and other Layalina marks, graphics, logos, and designs, and in all other marks, logos, company names, trade names, and other product or service names (collectively, "Marks") displayed on the Site, whether or not appearing with the trademark symbol, belong exclusively to Layalina or their respective owners and are protected from reproduction, imitation, dilution or confusing or misleading uses under U.S. and international trademark and copyright laws. Layalina’s inclusion of such a link does not in any way imply Layalina’s endorsement of the linked site or, unless expressly stated in this Site, any association with the operators of such linked sites. 8. Your Obligations
As a condition of your use of the Site, Software, and Content you are required to comply with all applicable law and with any further limitations on such use as may be set forth in any written or on-screen notice from Layalina, and you warrant that you will use the Site, Software, and Content only for legitimate purposes and not for any purpose that is unlawful or prohibited by this Agreement. In addition, you shall not use or allow any third party to use the Site or the Content for any unauthorized or unlawful purpose or in furtherance of any unauthorized or unlawful purpose.
You shall provide complete, true, and accurate information when submitting any information to the Site, and you shall take all necessary precautions to preserve the security of the Site and the Content in accordance with this Agreement.

9. Prohibited Uses Generally
Without limitation to the foregoing, you agree not to transmit, distribute, post, communicate, or store information or other material on, to, or through the Site or the Content that:
(a) contains content that infringes any patent, trademark, trade secret, copyright or other proprietary rights of any party, unless you own such rights;
(b) contains viruses, Trojan horses, worms, time bombs, or other computer programming routines or engines that are intended to damage, detrimentally interfere with, surreptitiously intercept or expropriate any system, data or information;
(c) contains unlawful, harmful, threatening, abusive, harassing, defamatory, obscene, libelous, or racially, ethnically or otherwise objectionable material; or
(d) contains any unsolicited or unauthorized advertising, promotional materials, "junk mail," "spam," "chain letters," or any other form of solicitation.
You further agree not to:

Any violations of system or network security may result in criminal or civil liability. Layalina reserves the right to disclose any information necessary to satisfy any applicable law, regulation, legal process, or government request. Layalina reserves the right to investigate any alleged violations and to cooperate with law enforcement authorities in investigating and prosecuting individuals involved in such violations.

10. Disclaimer of Warranties
YOU EXPRESSLY UNDERSTAND AND AGREE THAT:
(a) THE SITE AND THE CONTENT ARE PROVIDED ON AN "AS IS" BASIS. LAYALINA MAKES NO REPRESENTATION OR WARRANTY OF ANY KIND, EXPRESS, STATUTORY, OR IMPLIED, CONCERNING THE SITE, THE SOFTWARE, THE CONTENT, OR ANY OTHER MATTER. WITHOUT LIMITING THE FOREGOING, LAYALINA MAKES NO WARRANTY AS TO THE ACCURACY, RELIABILITY, CORRECTNESS, COMPLETENESS, OR TIMELINESS OF ANY INFORMATION AVAILABLE ON OR THROUGH THE SITE, THE SOFTWARE, OR THE CONTENT.
(b) LAYALINA EXPRESSLY DISCLAIMS ANY AND ALL WARRANTIES OF ANY KIND, EXPRESS, STATUTORY, AND IMPLIED, INCLUDING WITHOUT LIMITATION ANY AND ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, TITLE, NO ENCUMBRANCES, NON-INFRINGEMENT, QUIET ENJOYMENT, OR WORKMANLIKE EFFORT.
(c) LAYALINA MAKES NO WARRANTY THAT (i) THE SITE, THE SOFTWARE, OR THE CONTENT OFFERED HEREIN WILL MEET YOUR REQUIREMENTS; (ii) YOUR ACCESS AND USE OF THE SITE, THE SOFTWARE, OR THE CONTENT WILL BE UNINTERRUPTED, TIMELY, OR ERROR-FREE; (iii) THE QUALITY OF ANY INFORMATION OR OTHER MATERIAL OBTAINED BY YOU IN THE PUBLICLY ACCESSIBLE AREAS OF THE SITE, THE SOFTWARE, OR THE CONTENT WILL MEET YOUR EXPECTATIONS, OR; (iv) ERRORS IN ANY SOFTWARE USED BY LAYALINA OR PROVIDED TO YOU BY LAYALINA, WILL BE CORRECTED.
(d) DOWNLOADING OR ACCESSING ANY OF THE CONTENT OR THE SOFTWARE THROUGH THIS SITE IS AT YOUR OWN DISCRETION AND RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY RESULTING DAMAGE TO YOUR COMPUTER SYSTEM OR LOSS OF DATA.
(e) NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED BY YOU FROM LAYALINA OR THROUGH OR FROM THE SITE, THE SOFTWARE, OR THE CONTENT SHALL CREATE ANY WARRANTY.
(f) THE SITE, THE SOFTWARE, AND THE CONTENT ARE PROVIDED WITH ALL FAULTS; AND THE ENTIRE RISK AS TO SATISFACTORY QUALITY, PERFORMANCE, ACCURACY, AND EFFORT IS WITH THE USER.
THIS SECTION 11 SHALL SURVIVE ANY TERMINATION OF THIS AGREEMENT.

11. Limitation of Liability
YOUR SOLE REMEDY IF YOU ARE DISSATISFIED IN ANY WAY WITH THE SITE, THE SOFTWARE, OR THE CONTENT IS TO CEASE ANY USE OF THE SITE, THE SOFTWARE, OR THE CONTENT. YOU EXPRESSLY UNDERSTAND AND AGREE THAT LAYALINA SHALL NOT BE LIABLE TO YOU OR ANY OTHER PERSON FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING WITHOUT LIMITATION DAMAGES FOR LOSS OF PROFITS, LOSS OF GOODWILL, LOSS OF BUSINESS OR DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF LAYALINA HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), ARISING FROM OR RELATING TO THIS AGREEMENT OR ANY OF THE FOLLOWING:
(a) YOUR ACCESS TO, USE OF, OR INABILITY TO USE THE SITE, THE SOFTWARE, OR THE CONTENT, INCLUDING WITHOUT LIMITATION IN CONNECTION WITH ANY FAILURE OF PERFORMANCE, ALTERATION, ERROR, OMISSION, INTERRUPTION, DEFECT, DELAY IN OPERATION OR TRANSMISSION, OR COMPUTER VIRUS OR LINE OR SYSTEM FAILURE;
(b) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA;
(c) STATEMENTS OR CONDUCT OF ANY THIRD PARTY IN CONNECTION WITH THE SITE OR THE CONTENT; OR
(d) ANY OTHER MATTER RELATING TO THE SITE, THE SOFTWARE, OR THE CONTENT.
THIS EXCLUSION OF REMEDIES IS INDEPENDENT OF, AND SURVIVES ANY FAILURE OR UNCONSCIONABILITY OF, ANY AGREED OR LIMITED REMEDY. WITHOUT LIMITING ANY OF THE FOREGOING, YOU EXPRESSLY UNDERSTAND AND AGREE THAT LAYALINA SHALL NOT BE LIABLE FOR ANY DELAY OR FAILURE TO PERFORM DUE TO CAUSES BEYOND ITS CONTROL, INCLUDING WITHOUT LIMITATION HACKING OR OTHER CYBERATTACKS, ACTS OF GOD, ACTS OF A FOREIGN GOVERNMENT OR THE UNITED STATES OR ANY POLITICAL SUBDIVISION OF THE FOREGOING, AND ACTS OF WAR OR TERRORISM. THIS SECTION 12 SHALL SURVIVE ANY TERMINATION OF THIS AGREEMENT.

12. Indemnity
Upon request from Layalina, you agree to defend, indemnify, and hold harmless Layalina and its subsidiaries, affiliates, officers, directors, agents, co-branders, employees, and contractors and other partners from and against any and all claims, demands, losses, damages, liabilities, obligations, judgments, costs, charges, and expenses, including reasonable attorneys' fees, arising out of, in connection with, or based upon:
(a) your use of, or inability to use, the Site, the Software, or the Content;
(b) the content or information you submit, post, transmit or make available through the Site, the Software, or the Content;
(c) your connection to the Site, the Software, or the Content;
(d) your violation of any rights of another; or
(e) your violation of the terms of this Agreement, including without limitation your breach of any representation or warranty made herein.
You shall not settle or dispose of any threatened or pending claim in a manner that would prejudice Layalina without Layalina’s prior written consent. This section 13 shall survive any termination of this Agreement.

13. Severability and Integration
This Agreement constitutes the entire agreement between you and Layalina and governs your use of the Site, the Software, and the Content offered herein, unless superceded by any other agreements between you and Layalina. You also may be subject to additional terms and conditions that may apply when you use affiliated services, third-party content, or third-party software.
If a court of competent jurisdiction finds any provision of this Agreement to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties' intentions as reflected in these provisions, and the other provisions of this Agreement remain in full force and effect.

14. Choice of Law and Forum
THIS AGREEMENT AND THE RELATIONSHIP BETWEEN YOU AND LAYALINA SHALL BE GOVERNED BY THE LAWS OF THE DISTRICT OF COLUMBIA WITHOUT REGARD TO ITS CONFLICT OF LAW PROVISIONS. YOU AND LAYALINA AGREE TO SUBMIT TO THE PERSONAL AND EXCLUSIVE JURISDICTION OF THE COURTS LOCATED WITHIN THE DISTRICT OF COLUMBIA.

15. No Waiver
Layalina’s failure to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision.

16. Termination Rights
Layalina reserves the right, in its sole discretion, to suspend or terminate your access to all or part of the Site or to any of the Content and/or to remove any Content posted on the Site at any time and for any reason, with or without notice.

17. Miscellaneous
You agree that no joint venture, partnership, employment, or agency relationship exists between you and Layalina as a result of this Agreement.
YOU AGREE THAT REGARDLESS OF ANY STATUTE OR LAW TO THE CONTRARY, ANY CLAIM OR CAUSE OF ACTION ARISING OUT OF OR RELATED TO USE OF THE SITE, THE SOFTWARE, OR THE CONTENT OR THIS AGREEMENT MUST BE FILED WITHIN ONE (1) YEAR AFTER SUCH CLAIM OR CAUSE OF ACTION AROSE OR BE FOREVER BARRED.
A printed version of this Agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this Agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.
The section titles in this Agreement are for convenience only and have no legal or contractual effect.
